Preamble
This Edge Banding Contract Template (hereinafter referred to as the "Contract") is entered into on [Date] by and between [Your Company Name] (hereinafter referred to as the "Supplier") and [Customer Name] (hereinafter referred to as the "Customer").


Purpose and Scope
The purpose of this Contract is to establish the terms and conditions for the supply of edge banding materials and related services by the Supplier to the Customer. This Contract shall apply to all orders for edge banding materials placed by the Customer with the Supplier.


Definitions
For the purposes of this Contract, the following terms shall have the following meanings:
* "Edge banding" refers to the thin strips of material used to cover the exposed edges of wood or other panel materials.
* "Melamine edge banding" refers to edge banding made of melamine-impregnated paper, which is typically used in kitchen and bathroom applications.
* "PVC edge banding" refers to edge banding made of polyvinyl chloride, which is known for its durability and resistance to moisture and heat.
* "ABS edge banding" refers to edge banding made of acrylonitrile butadiene styrene, which offers a high-gloss finish and excellent impact resistance.
* "Order" refers to a specific purchase order placed by the Customer with the Supplier for the supply of edge banding materials and related services.


Specifications
The Supplier shall supply edge banding materials to the Customer in accordance with the following specifications:

Delivery and Shipping

* The Supplier shall be responsible for arranging and paying for all shipping and handling costs.
* The Customer shall be responsible for inspecting the edge banding materials upon receipt.
* The Customer shall notify the Supplier of any damaged or defective edge banding materials within 7 days of receipt.


Warranties
* The Supplier warrants that the edge banding materials and related services shall be free from defects in materials and workmanship for a period of 12 months from the date of delivery.
* The Supplier's warranty shall not apply to any edge banding materials that have been damaged or altered by the Customer.
* If the edge banding materials are found to be defective within the warranty period, the Supplier shall, at its own expense, repair or replace the defective edge banding materials.


Termination
* Either party may terminate this Contract for cause, including but not limited to, a material breach of the Contract by the other party.
* If the Customer terminates this Contract for cause, the Customer shall be entitled to a refund of any prepaid amounts for edge banding materials that have not yet been delivered.
* If the Supplier terminates this Contract for cause, the Supplier shall be entitled to payment for any edge banding materials that have already been delivered and any work that has been performed.


Governing Law and Dispute Resolution
This Contract shall be governed by and construed in accordance with the laws of [State or Country]. Any disputes arising under this Contract shall be resolved through [Method of Dispute Resolution].


Modifications
This Contract may only be modified by a written agreement signed by both parties.
